March 25, 2022 🎥 The Morning Meeting 🗣 AROUND THE HORN What is a Reg D? Reg D is the easiest and fastest way for startups to raise capital. It allows accredited investors (more on who that is shortly) to quickly and easily stroke relatively large checks to startups. The SEC isn't involved, there isn't any public filing that has to take place, and usually, the Reg D agreements are a few pages of a simple contract. FOR GENERATIONS, the Reg D option has been the vehicle of choice for startups. But, that could all change with the rule changes that the SEC is considering. [Right now, the limitations on who can invest in a Reg D]( aren't that strict: - Earned income exceeded $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the prior two years, and reasonably expects the same for the current year, OR - Has a net worth over $1 million, either alone or together with a spouse or spousal equivalent (excluding the value of the person's primary residence), OR - Holds in good standing a Series [7](, [65](, or [82]( license The SEC is doing WHAT? Well, this could all change. The SEC is considering upping the accredited investor requirements to $10M. These requirements could dramatically change the private investment landscape. There are several things this could affect, but the most prominent being that private companies wouldn't as easily be able to secure quick Reg D investments. Meaning startups would more than likely have two routes. Of course, the SEC is just considering it, but "considering it" often turns into "doing it." - Go straight to venture capital, family offices, or significantly high net worth individuals. Or - Most startups would now have to file for a Reg CF or Reg A offering. This means a ton of startups that would have never knocked on the crowdfunding doors would show up. It also means that the SEC would have more eyes in the private investing sector. These possible updates to the Reg D are just the tip of the iceberg, and nothing is law yet.
