Equity matters even more in a bear market than in a bull market. In a bull market, you don’t have to think much about cap tables and equity compensation. That’s because when things are up and to the right, there’s very little risk. Liquidation preferences and recapitalizations are uncommon or unimportant. As an investor, you are just trying to keep up with your biggest deals as you watch their valuation grow and grow. In a bear market, the equity details matter a lot more. Cap tables are in flux: old investors are being thrown out via recaps, and preference stacks start to get close to the valuation of the company. There is so much math necessary to understand: what needs to happen for my equity to be worth something? How do I respond to any major events that may arise like a down round of financing or an exit that isn’t as rich as we expected? Taylor Davidson is a veritable expert in cap tables and startup equity. He lives and breathes cap tables. Taylor is not only an instructor on Maven but also the founder of a cap table management software company, Foresight, where his templates have been downloaded over 40,000 times by VC's, LP's, financial firms, and founders. In his [Cap Table and Exit Waterfall Masterclass](, he teaches founders and VCs how to build cap tables from scratch, create exit waterfalls, run scenario analyses around exits and fundraising events, and understand how fundraising rounds impact cap tables. This was one of my favorites: "There is no other way to put it; Taylor knows his stuff. From his financial model (which I have been using for years) to this course, his work always exceeds expectations. This course covers everything I expected and much more. The detail on SAFES, option pools, and exit waterfalls was the refresher I needed. Overall feel like I am now equipped for any cap table scenario." In just two weeks and 4 live sessions, Taylor will teach you how to read and create cap tables, and how to model convertible notes, option pools, and exit waterfalls. He'll also provide a bunch of free downloadable tools and templates from his company Foresight. Plus, if you have questions, you can ask them live - with a bona fide expert who has helped thousands of people understand their own equity positions. Given all the chaos on the market, now's a good time to get an education and so we hope you'll take Taylor's course. This week, he's given us a code for $250 off with MAVEN250. Enjoy and please let me know what you think!
