Illegal insider trading refers generally to buying or selling a security, in breach of a fiduciary duty or other relationship of trust and confidence, on the basis of material, nonpublic information about the security. Legal insider trading simply means that insiders don't possess any material, nonpublic information. When an insider's knowledge is public – even if the information is material – it's no longer considered insider trading. It goes without saying that we'll be focusing exclusively on the legal form of insider trading – which we'll typically refer to as "insider buying."
