[Upgrade Now!]( Market-Moving News 📈 Trump Media Stock Plummets Amidst Plans to Resell Nearly 38 Million Shares Yesterday, shares of Trump Media & Technology Group (NASDAQ: DJT) experienced a significant boost, closing about 30% higher. This surge followed the failed assassination attempt on Donald Trump over the weekend. However, this positive trend was short-lived as the company announced plans to resell and register 37.96 million shares, causing DJT stock to drop by about 9%. The proposed resale involves 37.64 million shares from the investment firm Yorkville, 200,000 shares to be issued to Yorkville, and 125,000 shares to EF Hutton. Both Yorkville and EF Hutton are set to receive these shares within a day of the resale filing. As of July 3, Trump Media had 189.94 million shares outstanding. "Thus we are registering the maximum amount that we could register without obtaining approval of stockholders in accordance with Nasdaq’s ‘minimum price rule,’" TMTG stated. The registered shares represent approximately 20% of the outstanding shares. Details of the Resale Yorkville will receive 200,000 shares of DJT stock as part of a standby equity purchase agreement (SEPA) with TMTG, which was entered into on July 3. The SEPA allows Yorkville to purchase up to $2.5 billion worth of DJT shares. EF Hutton will receive 125,000 shares for its role as the exclusive placement agent for the SEPA. “The per share subscription price Yorkville will pay for the shares will be 97.25% of the Market Price during a one- or three-day pricing period elected by the Company,” stated TMTG. Yorkville plans to offer a maximum of 37.84 million shares as part of the resale, while EF Hutton will offer up to 125,000 shares. Upon completion of the offering, Yorkville will own zero shares, and EF Hutton will retain 86,719 shares. Financial Implications for TMTG Trump Media will not directly benefit from Yorkville’s sales. However, the company could receive up to $2.5 billion from Yorkville through the SEPA, which would be utilized for working capital and general corporate purposes. As a relatively new entity, TMTG is in dire need of funding to sustain its operations and fuel growth. The company’s financial health appears precarious, with first-quarter revenue reported at a mere $770,500 and a substantial net loss of $327.6 million. Despite this, DJT stock has seen considerable gains this year, primarily due to its association with Donald Trump. Revenue for full year 2024 was up 15.3% to $195.7 million. Logistic Properties of the Americas [LPA] $26.00 (+69%) It is unclear to me why this stock rallied today. Autonomix Medical Inc. [AMIX] $1.06(23%) AMIX was one of the biggest gainers in the entire market yesterday and pulled back today. Antelope Enterprise Holdings Ltd [AEHL] $4.06 (21%) Another stock that had a nicer runup in the past but now is heading back to earth.
